Looking for a sound card with a "record from modem" and "play out of modem" option.
Situation 1. Want client to call into my office and I record their voice.
Situation 2. When calling a radio station I would like to play a recorded voice for the news department to record.
Also, is Cool Edit 2000 okay or do I need Cool Edit Pro

Some soundcards have multiple internal inputs. A Sound Blaster Live Value is fairly inexpensive, and may be more than adequate for this purpose. A cable goes from your modem to the soundcard. Actually, any soundcard with an internal input will use the modem if you don't also need to attach a CDROM or other device. You need a modem that will cooperate, of course, but most qualtity modems these days have voice ability.
For playback of your pre- recorded message, you do not use the soundcard. You use software that handles that function (voice mail software). It provides for you to record to disk and plays back that recording through the modem, not through the soundcard. Both pieces of hardware are DSP devices.

Now that I think a little further on what I am saying, I see that you also need only the voice mail software to record incoming messages. You only use the soundcard to play them back, and it does not need to be attached to the modem for that. You need a connection from modem to soundcard only to use the modem as a speaker phone, or to use it as a regular phone when the modem itself does not provide any facility to plug in (and use) a mic/headphone.

If you have stupid, strange problems with some internal modems, please be patient... or get an external one.
