Hello Toomba. Well, not sure if what you're trying to do is really what you want to do...
Essentially, if you're working with a keyboard and a sequencer (outboard or software based) you can use CEP as a Slave to MTC (midi time code) and thus keep your midi sequence synced with live playback or digital audio.
From what little you've written, it sounds like you just want to record your keyboard's output (audio, not MIDI) into Cool Edit. This does not require the use of MTC or sync of any kind. If you are simply trying to keep you keyboard's on-board sequencer in sync with a Cool Edit Session, you'd have to be sure that your keyboard was able to (a) be a Timecode Master; and (b) that it actually outputs MTC.
